ARTICLE 1 – DEFINITIONS

In these General Terms and Conditions of Use, the following terms shall have the meanings set out below:

“AITECA”: refers to the artificial intelligence solution published by ITESOFT INNOVATION, enabling the intelligent analysis of documents, images and/or digital content using technologies based in particular on artificial intelligence and automated data processing.
 “T&Cs” or “Terms and Conditions of Use”: refer to these terms governing access to the Website and the use of the demonstration features offered by AITECA.
“Demonstration”: refers to the test features accessible via the Website, enabling a user to try out certain capabilities of AITECA prior to entering into a contractual subscription.
“Demo Content”: refers to the documents, images, files or information voluntarily uploaded by the Tester to the Site in order to carry out a Demo.
“Publisher”: refers to ITESOFT INNOVATION, a Simplified Joint-Stock Company with a share capital of €1,368,871, whose registered office is located at Parc d’Andron – Le Sequoia - 30470 AIMARGUES, registered with the Nîmes Trade and Companies Register under number 994 361 517.
“Platform”: refers to the software environment operated by ITESOFT INNOVATION that enables the provision of AITECA’s features.
“Results”: refers to the information, analyses, extracts, comparisons or elements generated automatically by AITECA from the Demonstration Content.
“Services”: refers to the features offered by AITECA, including in particular intelligent document analysis, visual analysis, comparison of information and any other features made available.
“Site”: refers to the website accessible at https://aiteca.ai.
“Tester”: refers to any natural person using the Demonstration accessible on the Site.

ARTICLE 2 – PURPOSE

The purpose of these Terms of Use is to set out the conditions under which ITESOFT INNOVATION grants the Tester free access to the Demo features available on the Website.
The sole purpose of the Demo is to enable the Tester to evaluate certain technical capabilities of AITECA.
These Terms of Use do not govern the commercial or professional use of AITECA, which is subject to the prior signing of a separate contract with ITESOFT INNOVATION.

ARTICLE 3 - ACCESS TO THE DEMO

The Demo is accessible via the Website in accordance with the terms and conditions defined by ITESOFT INNOVATION.
The Tester acknowledges that:
· the features available as part of the Demonstration may be limited compared to the full Services
· ITESOFT INNOVATION may modify, suspend or discontinue the Demonstration at any time;
· the Demonstration is provided exclusively for evaluation purposes.

ARTICLE 4 – USE OF THE DEMO

The Tester undertakes to use AITECA in accordance with these Terms of Use and applicable laws.
In particular, the Tester shall refrain from:
· importing unlawful content
· attempting to access the source code or templates used by AITECA
· carrying out any reverse engineering
· testing the security or technical limitations of the Platform without prior authorisation
· using the Demo to establish a competing service.
 The Tester warrants that they hold all necessary rights and authorisations regarding the Demo Content provided.

ARTICLE 5 – HOW ARTIFICIAL INTELLIGENCE WORKS AND LIMITATIONS OF THE RESULTS

The Tester acknowledges that the Results generated by AITECA are based on artificial intelligence and automated analysis technologies.
Consequently, the Results:
· may contain errors or inaccuracies
· must be verified before any operational use
· do not constitute a definitive legal, technical, financial or business validation.
 AITECA is a tool designed to assist with document analysis and is not a system intended to replace human judgement.
The Tester remains solely responsible for any decision taken on the basis of the Results generated.

ARTICLE 6 - AVAILABILITY AND DEVELOPMENT OF THE SERVICE

ITESOFT INNOVATION shall use reasonable endeavours to ensure the accessibility of the Demonstration.
However, the Demonstration is provided ‘as is’, with no guarantee of availability, performance or continuity.
ITESOFT INNOVATION may carry out any maintenance or technical upgrades without prior notice.

ARTICLE 7 - INTELLECTUAL PROPERTY

ITESOFT INNOVATION retains all rights relating to:
the Website;
· the Platform
· AITECA technologies
· the models, algorithms, software developments, interfaces and associated documentation.
 These Terms of Use do not entail any transfer of intellectual property rights to the Tester.
The Tester remains the owner of the Demonstration Content that they import.
The Tester grants ITESOFT INNOVATION only a temporary right to use the Content strictly necessary for the performance of the Demonstration.

ARTICLE 8 – CONFIDENTIALITY

ITESOFT INNOVATION undertakes to maintain the confidentiality of the Content provided in connection with the Demonstration.
The Content will not be disclosed to third parties except where this is strictly necessary for the technical provision of the service or required by law.

ARTICLE 9 - PERSONAL DATA

In connection with the use of AITECA, ITESOFT INNOVATION may be required to process personal data in accordance with Regulation (EU) 2016/679 (‘GDPR’).

9.1 Processing carried out in the capacity of data controller

ITESOFT INNOVATION acts as data controller in relation to, in particular:
· the management of the Website
· contact requests
· IT security
· user tracking

Information relating to this processing is set out in the Privacy Policy available on the Website.

9.2 Processing carried out in connection with the Demonstration Content

When the Tester imports documents containing personal data, ITESOFT INNOVATION acts solely to enable the Demonstration to be carried out.
The Tester warrants that they hold the necessary rights to transmit such data.
The Content is processed solely to provide the requested Results and is not used for any other purposes without authorisation.

ARTICLE 10 - AI TRAINING DATA

Unless the Tester expressly agrees otherwise, the Demonstration Content transmitted to AITECA is not retained and, consequently, is not used to train artificial intelligence models intended for general use.

ARTICLE 11 - LIABILITY

ITESOFT INNOVATION shall not be held liable for:
· any improper use of the Demonstration
· any decision taken solely on the basis of an automatically generated Result
· any error arising from incomplete or incorrect Content provided by the Tester. 

ARTICLE 12 – HYPERLINKS

The Website may contain links to third-party websites.
ITESOFT INNOVATION has no control over these websites and accepts no liability for their content.

ARTICLE 13 - AMENDMENTS TO THE TERMS OF USE

ITESOFT INNOVATION reserves the right to amend these Terms of Use at any time.  
The applicable version is that available on the Website at the time the Demo is used.  

ARTICLE 14 - GOVERNING LAW AND JURISDICTION

These Terms of Use are governed by French law.
Any dispute relating to their interpretation or enforcement shall be subject to the exclusive jurisdiction of the competent courts within the jurisdiction of the Court of Appeal of Nîmes.
